Terms and Conditions

These Terms and Conditions (“Terms”) govern access to and use of the Entuity Partner Portal (“Portal”), operated by Entuity Software (“Entuity”, “we”, “us”, “our”).

By accessing or using the Portal, you confirm that you are acting on behalf of an organisation and that you agree to be bound by these Terms.

1. Purpose of the Partner Portal

The Portal is provided exclusively to support Entuity’s authorised partner ecosystem, including Referrers, Bronze, Silver, and Gold partners.

The Portal enables partners to:

  • Refer business opportunities

  • Support sales and marketing activities

  • Access enablement and training materials

  • Support Proofs of Concept (PoCs)

  • Develop commercial proposals (where applicable)

The Portal is not intended for general public use.

2. Partner Types and Programme Levels

Entuity operates a multi-tier partner model. Access to the Portal and its content is determined by partner type and programme level.

2.1 Referrer

A Referrer is an organisation authorised to introduce prospective customers to Entuity.

Referrers:

  • May submit qualified referrals through the Portal

  • Do not sell, deliver, implement or support Entuity solutions

  • Do not have authority to position pricing, conduct PoCs or represent Entuity commercially

  • Have limited Portal access aligned to referral activities only

2.2 Bronze Partner

A Bronze Partner is an entry-level selling or services partner.

Bronze Partners:

  • May promote and sell Entuity solutions

  • May access basic sales and marketing resources

  • Must meet minimum training and certification requirements

  • May have limited technical and PoC access

2.3 Silver Partner

A Silver Partner is a partner with proven sales and delivery capability.

Silver Partners:

  • May actively sell and implement Entuity solutions

  • May conduct Proofs of Concept in accordance with Entuity guidelines

  • Have access to enhanced sales, technical and enablement resources

  • May participate in joint go-to-market activities

2.4 Gold Partner

A Gold Partner is a strategic partner with advanced capability and scale.

Gold Partners:

  • May sell, implement and support Entuity solutions at scale

  • May lead PoCs and complex customer engagements

  • Have priority access to enablement, support and roadmap briefings

  • May participate in strategic planning and co-marketing initiatives

3. Eligibility and Access

3.1 Access to the Portal is granted:

  • On a per-user basis

  • Based on partner type, tier, role and certification status

3.2 Entuity reserves the right to:

  • Approve, reject or revoke any registration

  • Modify partner tier or access level at any time

  • Suspend or terminate access without prior notice

4. User Responsibilities

You agree to:

  • Provide accurate and complete information

  • Maintain the confidentiality of login credentials

  • Restrict access to authorised personnel only

  • Notify Entuity immediately of any unauthorised use

You are responsible for all activity conducted under your account.

5. Acceptable Use

You must not:

  • Share Portal access with unauthorised third parties

  • Misrepresent your partner status or programme level

  • Misrepresent Entuity products, pricing or commercial terms

  • Attempt to bypass access controls or security mechanisms

  • Copy, distribute or disclose Portal content without authorisation

6. Intellectual Property

All Portal content, including documentation, training materials, tools, calculators and templates, remains the exclusive intellectual property of Entuity or its licensors.

Content is provided solely for authorised partner business purposes and may not be reused, published or shared externally without prior written consent.

7. Confidentiality

The Portal contains confidential and proprietary information, including but not limited to:

  • Pricing guidance

  • Commercial strategies

  • Technical documentation

  • Product roadmap information

You agree to treat all Portal content as confidential and protect it accordingly.

8. No Authority or Agency

Nothing in these Terms grants any partner the authority to:

  • Bind Entuity to any agreement

  • Make representations or warranties on Entuity’s behalf

  • Offer pricing, discounts or contractual terms without express approval

This applies to all partner levels, including Referrers.

9. Referrals, Sales and Proofs of Concept

9.1 Referrers may submit referrals only through approved Entuity processes.

9.2 Bronze, Silver and Gold Partners may engage in sales and PoC activities only within the scope of their authorised programme level.

9.3 All PoCs must follow Entuity’s official PoC guidelines.

10. Availability and Changes

Entuity may modify, suspend or discontinue the Portal or any content at any time and does not guarantee uninterrupted availability.

11. Disclaimer

The Portal is provided “as is” and “as available”, without warranties of any kind.

12. Limitation of Liability

To the fullest extent permitted by law, Entuity shall not be liable for indirect, incidental or consequential damages arising from use of the Portal.

13. Termination

Entuity may suspend or terminate Portal access immediately if:

  • These Terms are breached

  • The partner relationship ends

  • Continued access presents a business or security risk

14. Data Protection

Personal data is processed in accordance with applicable data protection laws and Entuity’s Privacy Policy.

15. Governing Law

These Terms are governed by the laws of England and Wales
